Welcome to Cyridium (“Cyridium”, “we”, “us”, or “our”), a multi-tenant SaaS content management system. These Terms of Service (“Terms”) govern your access to and use of our platform, tools, hosting, and related services (“Service”).

By using the Service, you (“Client”, “you”, or “your”) agree to these Terms. If you are acting on behalf of a company or entity, you represent that you have authority to bind that entity.

1. Description of the Service

We provide a multi-tenant CMS platform with logical data isolation between tenants. The Service includes website-building tools, hosting, templates, analytics, support features, and other functionalities described on our website.

2. Accounts and Eligibility

You must be at least 18 years old and have legal capacity to enter into contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3. Subscription, Payments and Billing

  • Plans & Fees: Details of current plans, pricing, and features are available on our website or in your account. We may update pricing with notice.

  • Payment Providers: We use Stripe for card payments and TrueLayer for open banking / Pay by Bank services. You authorise us (via these providers) to charge your chosen payment method for all fees. We do not store full payment card details.

  • Billing: Subscriptions are billed in advance on a [monthly / annual] basis in GBP (or other currency as agreed). Fees are non-refundable except as required by law or as expressly stated in our Refund Policy.

  • Failed Payments & Late Fees: We may retry failed payments. Repeated failures may result in suspension. Late payments may incur interest at 8% above the Bank of England base rate.

  • Taxes: All fees are exclusive of VAT and other applicable taxes, which you are responsible for.

  • Price Changes: We will notify you in advance of material price increases. You may cancel before the change takes effect.

4. License and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the active subscription term.

You may not: reverse engineer, decompile, copy, modify, create derivative works of, or build a competing service using the platform. You may not resell or sublicense the Service itself.

5. Client Content and Responsibilities

You retain ownership of all content, data, websites, and materials you upload, create, or publish via the Service (“Client Content”).

You are solely responsible for:

  • The legality, accuracy, and compliance of your Client Content with all applicable laws.

  • Ensuring your websites and integrations (e.g., third-party analytics, advertising pixels) comply with privacy laws (including obtaining consents from your visitors).

  • Backing up your data (we provide export tools but recommend your own backups).

You grant us a worldwide, royalty-free licence to host, reproduce, display, and use your Client Content solely as necessary to provide the Service.

We reserve the right (but have no obligation) to remove or disable access to any Client Content that violates these Terms.

6. Acceptable Use and Prohibited Activities

You agree not to:

  • Violate any applicable laws or infringe third-party rights.

  • Upload malware, viruses, or harmful code.

  • Interfere with the Service’s security or multi-tenant isolation.

  • Excessively consume resources in a manner that impacts other tenants.

  • Engage in spam, phishing, or other abusive activities.

  • Use the Service to host prohibited content (e.g., certain adult material, hate speech, or illegal activities — subject to our enforcement discretion).

We may maintain a separate Acceptable Use Policy.

7. Intellectual Property

We (or our licensors) own all rights in the Service, software, templates, designs, and trademarks. Nothing in these Terms transfers any ownership to you.

8. Service Levels and Support

We aim for high availability (target 99.99% uptime as advertised). Specific SLAs, credits, and maintenance windows may be detailed in your plan or a separate SLA document. Support is provided via [email / in-app / helpdesk] during business hours.

9. Termination and Data Export

  • By You: You may cancel your subscription via your account. Cancellation takes effect at the end of the current billing period.

  • By Us: We may suspend or terminate your access for breach of these Terms, non-payment, or other justified reasons with reasonable notice where possible.

  • Data Export: Upon termination (for any reason other than material breach by you), you may export your Client Content within 30 days. After this period, we may permanently delete it (subject to legal holds or backups). We are not liable for data loss after this window.

10. Disclaimers and Limitation of Liability

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind (express or implied). We disclaim all warranties regarding merchantability, fitness for purpose, uptime (except as in any SLA), and non-infringement.

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or goodwill).

  • Our total aggregate liability shall not exceed the total amounts you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cyridium Ltd, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your Client Content or websites (including IP infringement, defamation, privacy violations, or harm to third parties).

  • Your breach of these Terms or applicable laws.

  • Any claims brought by your end-users or visitors.

12. Multi-Tenant Isolation and Security

We maintain logical separation of tenant data. However, absolute security or isolation cannot be guaranteed against all possible attacks or misconfigurations. You acknowledge the shared infrastructure.

13. Changes to Terms

We may update these Terms with notice (via email, in-app, or on the website). Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel your subscription.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General

  • Force Majeure: We are not liable for events beyond our reasonable control.

  • Severability: If any provision is invalid, the remainder remains in effect.

  • Entire Agreement: These Terms (together with our Privacy Policy and any plan-specific terms) constitute the entire agreement.

  • No Waiver: Failure to enforce a right does not waive it.
